HARARE - Eric Rosen, founder and club president of relegated Motor Action, is trying to block the Premier Soccer League (PSL) Annual General Meeting over a number of outstanding issues.
Rosen, the former PSL board member for marketing who was ousted at last month’s league Special Board Meeting, filed a High Court application yesterday in the hope that his grievances are addressed.
“I am reliably informed that amendments to the Constitution were adopted at a Special General Meeting held on Saturday 22nd February 2014. The adoption of the new Constitution resulted in the dissolution of the Executive Committee and the portfolio of Board Members,” read part of Rosen’s application.
“In terms of the previous constitution I was entitled in my capacity as the Board member Marketing and nominated Governor representing Motor Action Football Club to the provision of the Minutes of the Executive Committee Meeting that was held on Friday 22nd November 2013 as well as the Minutes of the Board of Governors of the Special General Meeting held on Saturday 7th December 2013.
“I attended both meetings in my capacity as the Board Member Marketing in the Executive Committee. In terms of the previous constitution that is legally binding marked ‘Annexure B’ states that Minutes of the Executive Committee Meeting will be circulated to the Board of Governors, within seven (7) days from the date of the meeting”.
“Articles 21.6 and 22.6 both marked ‘Annexure C’ states that “Minutes of every annual general or quadrennial general meeting will be available for inspection by the clubs at the offices of the League within thirty (30) days of the completion of the meeting, and must be circulated to the clubs within such time”.
“The issue regarding provision of minutes is silent in the constitution for Special General Meetings but one can assume that it should be dealt with in the same manner as annual general or quadrennial meetings.
“Up to the present moment I have not been provided with the minutes of both meetings despite making e-mailed requests to the Chief Executive Officer of PSL on 8th January 2014, 4th February 2014 and letter dated 9th February 2014 which are attached and marked “Annexure D”. The e-mails and letter have not been acknowledged and I have not been provided with any reasons for failure to provide the minutes as enshrined in the constitution.”
The Mighty Bulls boss also wants his outstanding allowances to be paid.
“I have also not been paid the allowances for acting in the capacity as Board Member Finance for almost one year which matter was dealt with at the Executive Committee Meeting that was held on Friday 22nd November 2014,” said Rosen.
“I would like resolve these issues prior to the Annual General Meeting that will be held imminently as structure will have adverse effects on recovering any monies that are due to me and Motor Action Football Club.”
